1. Use of this document
These standard terms apply when referenced by or accepted with a written proposal or service agreement. A project-specific document identifies the contracting parties, effective date, scope, price, delivery schedule, and any applicable project requirements.
2. Parties and project
Service provider: Lepempartnerly or the contracting entity identified in the accepted proposal or invoice. Client: the person or organisation identified in the accepted proposal. The project name, start date, and contact persons are recorded in the project paperwork.
3. Services and deliverables
Depending on the accepted scope, services may include marketing strategy; social media and content planning; campaign and advertising support; website, search and SEO support; market, audience and competitor research; prospect research; lead-generation and client-acquisition support; sales-funnel or CRM workflow planning; brand messaging; and reporting. The accepted proposal lists the actual services, deliverables, quantities, platforms, formats, deadlines, exclusions and client dependencies for that project. No additional work is included unless agreed in writing. Lepempartnerly does not guarantee any number of leads, clients, sales or profits.
4. Client inputs and approvals
The client will provide accurate information, authorised account access, lawful materials, and timely feedback. The client is responsible for approvals and for ensuring that supplied claims, data, images, trademarks, and other materials may legally be used.
5. Fees and invoicing
The accepted proposal specifies the fee model, currency, taxes where applicable, start-up or milestone payments, invoice dates, due dates, advertising budget and other approved expenses. Only amounts stated or otherwise lawfully agreed in that paperwork apply. Work may be paused for overdue undisputed invoices where permitted by the agreement and law. For any percentage-based model, the proposal must include the exact percentage and fee calculation terms below; no rate is imposed merely by visiting this website.
6. Revisions and change requests
The revision rounds and acceptance criteria are those stated in the accepted proposal. If the proposal does not include revisions, additional changes are treated as new work and require a written quote. Changes to scope, timing, or costs require written approval from both parties.
7. Intellectual property and third-party assets
The accepted proposal states when ownership or licence rights in final deliverables transfer, including any conditions such as full payment. Pre-existing tools, templates, know-how, stock assets, fonts, software, and third-party content remain subject to their own rights and licence terms. Neither party may use the other party's name, logo, confidential materials or credentials outside the agreed scope without permission.
8. Confidentiality and data
Each party will treat non-public project information received from the other as confidential and use it only for the project, unless disclosure is authorised or legally required. Account credentials must be shared through appropriate secure methods and not included in public forms. Each party remains responsible for handling personal data in accordance with applicable law.
9. Timelines, suspension, and termination
The accepted proposal records the start date, milestones, dependencies, notice period, termination rights and consequences of termination. If a project ends early, completed work, work in progress, prepaid amounts and authorised non-cancellable third-party expenses are handled under the accepted written terms and applicable law. Fees already earned for eligible revenue received during the agreed term remain payable. Any commission on later receipts after termination applies only where the accepted agreement expressly defines the attribution window and relevant sources.
10. Warranties, outcomes, and liability
Each party is responsible for the promises and duties stated in the accepted project proposal. Lepempartnerly will perform the agreed tasks with reasonable care, subject to client cooperation, third-party platform decisions and the agreed scope. No specific number of sales, leads, clients, revenue, search rankings or platform approvals is promised. Neither party excludes liability where doing so is unlawful, and rights and remedies that cannot legally be waived remain unaffected.
11. Performance-fee rate and eligible revenue
Where a performance-based model is selected in the accepted proposal, the standard option is 10% of eligible revenue. For a larger or resource-intensive project, the parties may negotiate a rate of up to 25%. The rate for a particular project is only the rate expressly stated and accepted in its written proposal; the maximum rate is not automatic. Eligible revenue means money actually received by the client from the specific sales, clients, campaigns, services or referral sources listed in the proposal and reasonably attributable to the agreed work. Unless the proposal expressly defines a different lawful basis, eligible revenue excludes collected sales taxes, amounts refunded or charged back, discounts and unpaid invoices. Existing customers, unrelated sales, and revenue not attributable to the agreed sources are excluded unless expressly and specifically agreed in writing.
12. Monthly records and payment
For a percentage-based project, the client will provide a monthly statement by the reporting date written in the proposal. Unless the proposal states a different date, the client sends the statement by the 5th calendar day of the following month; Lepempartnerly issues the corresponding invoice within 2 business days after receiving it; and the invoice is due within 7 calendar days of issue. The statement should show the agreed source or customer reference, transaction date, amount received, refunds or reversals, and the resulting eligible-revenue total, while minimising unnecessary personal data. Both parties keep copies of reports, invoices and accepted terms for their business records.
13. Evidence and reasonable verification
Each party will keep accurate records that are reasonably relevant to the fee calculation. If a report appears incomplete or inconsistent, either party may request reasonable supporting evidence. Any review is limited to records relevant to the agreed fee, must respect confidentiality and applicable privacy law, and may use redacted documents where practical. A serious unresolved calculation dispute should be documented in writing and handled under the dispute process below; neither party may knowingly falsify, hide or misclassify attributable receipts.
14. No circumvention of agreed fees
During the project term, neither party may deliberately route, relabel, omit or misstate a transaction for the purpose of avoiding a fee that is expressly payable under the accepted proposal. This clause applies only to sources, transactions and any post-termination period specifically identified in that agreement. It does not create an unrestricted claim over unrelated business revenue or customers, and it does not override applicable law.
15. Changes, scope and additional work
Any change to the service scope, percentage, eligible revenue definition, source attribution, monthly reporting, expenses, term or fee due date must be recorded in a written variation accepted by both parties before it takes effect. Informal discussions do not change an agreed percentage or expand the agreed fee base.
16. Disputes and acceptance
Parties should first identify a disputed invoice or calculation in writing, provide the relevant evidence, and make a reasonable effort to resolve it. This does not restrict statutory rights or remedies. Before work begins, a project-specific proposal must identify the full legal names and contact details of the contracting parties, the services, deliverables, fee model, exact rate (if applicable), calculation method, reporting dates, payment due dates, term, termination terms, applicable governing law where valid, and method of acceptance. Both parties should sign or clearly accept the same version and retain a copy. An email or electronic record may be useful evidence, but it does not guarantee enforceability in every circumstance; any required formalities remain applicable.
